In summary, this license is a Royalty-Free image license, allowing for usage in typical advertising, marketing, promotional, and otehr creative situations. Specific allowed uses are outlined in the license document below. Additionally, this document outlines prohibited uses, such as re-sale, use in products for sale (t-shirts, mugs, any CafePress or Zazzle items, etc). Lastly, this license emphasizes the point that this is a usage license, and purchasing Content from Open Path Design is not a transfer of ownership of any Content. Open Path Design retains the copyright of all content available in the Open path Design Store.

Content License Agreement

By purchasing digital Content from the Open Path Design Store, Open Path Design grants to you a Royalty-Free, perpetual, non-exclusive, non-transferable worldwide license to use the Content for Permitted Uses defined in this document. Unless the usage is listed in the Permitted Use portion of this document, you cannot do it. All other rights regarding and to the Content, including (without limitation) all copyright and other intellectual property rights related to the content, are retained and held by Open Path Design.

This license is for the use of Content for specifically defined purposes, and does not grant copyright or ownership of the Content. This is a usage license only, and not a transfer of image ownership.

Usage of this Content is limited to advertising, promotional, or other specified purposes which are deemed Permitted Uses (defined below). You may not use the Content in products for resale, license or other distribution. You cannot modify the Content for resale purposes, print it on a t-shirt, mug, poster, template or other item, and sell it to others for consumption, reproduction or resale. These uses ware not considered Derivative Works. If there is any doubt that a work is a Permitted Derivative Work, you should contact Open Path Design for clarification. Any use of the Content that is not a Permitted Use is considered an infringement of our copyright to this Content.

The Permitted Uses of Content:

Advertising and promotional projects, including printed materials, product packaging, presentations, film and video presentations, commercials, catalogues, brochures, promotional greeting cards and promotional postcards (as in items not for resale, redistribution, or re-license);
entertainment applications, such as books and book covers, magazines, newspapers, editorials, newsletters, and video, broadcast and theatrical presentations;

On–line or electronic publications, including web pages to a maximum of 600 x 600 pixels.

Prints, posters (hardcopy) and other reproductions for personal use or promotional purposes specified above, but not for resale, license or other distribution.

Any other uses approved in writing by Open Path Design (contact us for special permissions).

If there is any doubt that a use is permitted, you should contact Open Path Design for clarification.

YOU CANNOT DO ANYTHING WITH THIS CONTENT THAT IS NOT SPECIFICALLY DEFINED IN THIS DOCUMENT OR AGREED TO IN WRITING BY OPEN PATH DESIGN.

For the purposes of clarity, the following are Prohibited Uses:

Use the Content in design templates for resale, whether on-line or not, including website templates, Flash templates, business card templates, electronic greeting card templates, and brochure design templates.

Use or display the Content on websites or other venues designed to induce or involving the sale, license or other distribution of “on demand” products, including postcards, mugs, t-shirts, posters and other items (this includes custom designed websites, as well as sites such as CafePress and Zazzle).

Use the Content in any posters (printed on paper, canvas or any other media) or other items for resale, license or other distribution for profit;
Use any of the Content as part of a trade-mark, design-mark, trade-name, business name, service mark, or logo;
incorporate the Content in any product that results in a re-distribution or re-use of the Content (such as electronic greeting card web sites, web templates and the like) or is otherwise made available in a manner such that a person can extract or access or reproduce the Content as an electronic file.

Use the Content in a fashion that is considered by Open Path Design (acting reasonably) as or under applicable law is considered pornographic, obscene, immoral, infringing, defamatory or libelous in nature, or that would be reasonably likely to bring any person or property reflected in the Content into disrepute.

Use or display any Content that features a model or person in a manner that (i) would lead a reasonable person to think that such person uses or personally endorses any business, product, service, cause, association or other endeavour; or (ii) that depicts such person in a potentially sensitive subject matter, including, but not limited to mental and physical health issues, social issues, sexual or implied sexual activity or preferences, substance abuse, crime, physical or mental abuse or ailments, or any other subject matter that would be reasonably likely to be offensive or unflattering to any person reflected in the Content.

to the extent that source code is contained within the Content, reverse engineer, decompile, or disassemble any part of such source code.

remove any notice of copyright, trade-mark or other proprietary right from any place where it is on or embedded in the Content.

sub-license, re-sell, rent, lease, lend, assign, gift or otherwise transfer or distribute the Content or the rights granted under this Agreement.

use or display the Content in an electronic format that enables it to be downloaded, distributed, or shared in any peer-to-peer or similar file sharing applications.

Term of Agreement

This Agreement is effective until it is terminated by destroying the Content and any work containing the Content, along with any copies or archives of it or accompanying materials, and ceasing to use the Content for any purpose. The Agreement also terminates without notice from Open Path Design if at any time you fail to comply with any of its terms. Upon termination, you must immediately cease using the Content and for any purpose, destroy or delete all copies and archives of the Content or accompanying materials, and if requested, confirm to Open Path Design in writing that you have complied with these requirements.

Open Path Design reserves the right to revoke or amend the license granted by this Agreement and replace the Content with an alternative for any reason. We also reserve the right to cease distribution of the Content at any time for any reason, and cannot be held to any obligation to make the Content available at any future date.

Indemnification

By purchasing this Content, you agree to indemnify and hold Open Path Design and Michael McDonald harmless against any claim, liability, loss, damage, cost, or expense, including legal fees on a solicitor and client basis) incurred by or in connection with any breach by you or anyone acting on your behalf, regarding any of the terms of this Agreement. You agree that your usage of this Content and any action that results from your usage cannot be passed on to Open Path Design or Content creator Michael McDonald.

Acknowledgement

BY PURCHASING AND DOWNLOADING ANY CONTENT FROM OPEN PATH DESIGN, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, YOU UNDERSTAND IT, AND YOU WILL ABIDE BY IT IN USAGE OF THE CONTENT. YOU ALSO AGREE THAT YOU HAVE READ ANY NOTES ASSOCIATED WITH THE DOWNLOADED FILE AND AGREE TO THE PROVISIONS SET FORTH IN THOSE DOCUMENTS WITH REGARD TO FILE FORMATS, COMPATIBILITY, AND GENERAL USEFULNESS OF THE CONTENT.

Notes

Open Path Design recommends Adobe Illustrator for use of our vector Content, and cannot make any guarantees about compatibility with other software packages. By purchasing these files you agree that you take full responsibility for the compatibility of these files with your specific software, hardware, and operating system, and will not hold Open Path Design responsible for any difficulties that may arise when attempting to use these files. We make the file formats known in the item details, and it is up to you to know in advance if these file types will work with your system. Refunds will not be issued for file and system compatibility problems.
